These Terms and Conditions ("Terms") govern your access to and use of jheel.io
services, including the Harness API, web interface, and all associated
software ("Services"). jheel.io is built and operated by
Lost Ferry Interactive
("we", "us", or "our").
By accessing or using the Services, you agree to be bound by these Terms.
If you do not agree, do not use the Services.
1. Eligibility and Account Access
The Services are intended for use by businesses and developers. By using jheel.io,
you represent that you have the authority to enter into these Terms on behalf
of yourself or your organisation.
API access is provided upon application and approval. We reserve the right
to decline applications at our sole discretion. You are responsible for
maintaining the security of your API key and for all activity conducted
under your account.
2. Permitted Use
You may use jheel.io to process documents, query extracted data, and create
autonomous agents for lawful business purposes. Your use must comply with
all applicable laws and regulations, including those governing data protection,
financial records, and healthcare information in your jurisdiction.
You agree to use the Services only in ways that:
- Are lawful and do not violate the rights of any third party
- Do not involve the submission of documents you do not have the right to process
- Do not involve the circumvention of any security or access controls
- Are consistent with the intended purpose of the API as documented
3. Prohibited Uses
You must not use jheel.io to:
- Process documents containing illegal content or material that infringes third-party rights
- Attempt to reverse-engineer, disassemble, or extract the underlying AI models or infrastructure
- Conduct load testing, benchmarking, or stress testing beyond reasonable development use without prior written consent
- Resell or sublicense API access to third parties without our written approval
- Introduce malware, viruses, or malicious code of any kind
- Impersonate any person or entity or misrepresent your affiliation with any party
- Use autonomous agents to perform actions on third-party systems without appropriate authorisation
4. Agent Use and Responsibility
jheel.io provides infrastructure for creating and running autonomous agents
that interact with third-party systems (including Shopify, NetSuite, and Postmark).
You are solely responsible for:
- Ensuring you have the necessary permissions to use any credentials or access tokens
provided to jheel.io agents
- Verifying that all agent actions comply with the terms of service of any
connected third-party platform
- The consequences of any actions performed by agents operating on your behalf
- Monitoring agent behaviour and deactivating agents that operate outside
intended parameters
jheel.io is not responsible for actions taken by agents against third-party
systems, including any data modifications, transactions, or communications
resulting from agent execution.
5. Data Ownership
You retain full ownership of all documents you upload and all data extracted
from them. By uploading documents, you grant jheel.io a limited licence to
process and store that data solely to provide the Services.
We do not claim ownership over your data and will not use it to train
AI models or for any purpose beyond providing the Services to you.
6. Service Availability
We will make reasonable efforts to maintain availability of the Services.
However, the Services are provided without an uptime guarantee unless
separately agreed in a Service Level Agreement (SLA) with your organisation.
We may perform maintenance that results in temporary unavailability.
Where planned maintenance is expected to cause significant disruption,
we will provide advance notice where reasonably practicable.
7. Billing and Payment
Use of the jheel.io API is charged on a per-document processing basis,
with costs visible in each API response via the CostUSD field.
Billing arrangements, payment terms, and pricing are agreed separately
at account setup and may be updated with 30 days' notice.
You are responsible for all charges incurred under your API key.
If you suspect unauthorised use of your key, notify us immediately.
8. Intellectual Property
All software, infrastructure, models, interfaces, and documentation
comprising jheel.io are the intellectual property of Lost Ferry Interactive
and its licensors. Nothing in these Terms transfers any intellectual
property rights to you.
You may not copy, modify, or create derivative works based on any part
of the jheel.io platform without express written permission.
9. Confidentiality
Each party agrees to treat the other's confidential information with
reasonable care and not to disclose it to third parties without consent.
Your API key, pricing, and any non-public technical information we share
with you is considered confidential. Our access logs, internal infrastructure
details, and any proprietary model information is similarly confidential.
10. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranty
of any kind, express or implied, including but not limited to warranties
of merchantability, fitness for a particular purpose, accuracy of extracted
data, or non-infringement.
Extraction results are generated by AI models and may contain errors.
You are responsible for validating critical outputs — particularly in
financial, healthcare, or legal contexts — before acting on them.
11. Limitation of Liability
To the maximum extent permitted by applicable law, jheel.io and Lost Ferry
Interactive shall not be liable for any indirect, incidental, special,
consequential, or punitive damages, including but not limited to loss of
profits, data, or business opportunity, arising out of or in connection
with your use of the Services.
Our total aggregate liability for any claim arising under these Terms
shall not exceed the amounts paid by you to jheel.io in the three months
preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless jheel.io and Lost Ferry Interactive
from any claims, losses, damages, and costs (including legal fees) arising
from: (a) your use of the Services; (b) your violation of these Terms;
(c) your violation of any law or third-party rights; or (d) actions taken
by agents you create and operate.
13. Termination
Either party may terminate access to the Services at any time with written
notice. We may suspend or terminate your access immediately if you breach
these Terms or use the Services in a manner that could cause harm to us
or third parties.
Upon termination, your right to use the Services ceases and we will delete
your data in accordance with our data retention policies.
14. Governing Law
These Terms are governed by and construed in accordance with applicable
law. Disputes shall be resolved through good-faith negotiation in the
first instance, followed by mediation or arbitration as mutually agreed.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be
communicated with at least 30 days' notice via email or notice on our
website. Continued use of the Services after the effective date of changes
constitutes acceptance of the revised Terms.
